1. Parties, Venture Holders & Scope of the Agreement

This Enterprise Intellectual Property, Copyright & Data Transfer Agreement ("Agreement") is a legally binding covenant between the authorized user, employee, faculty member, creator, photographer, cinematographer, editor, muse, or associate ("Recipient / Staff Endpoint") and SHV Creation, RAP Education Photography & Cinematography School, Photography and Photographer Magazine, and their parent/associated LLP Entities, Founders, and Venture Holders (collectively, the "Company & Venture Holders"). By accessing this Private Shared Drive or clicking Save Selected / Save All, you unconditionally accept and agree to abide by all clauses below.

2. Exclusive Copyright & Ownership of Video, Photo & Creative Assets

All visual, audio-visual, and digital media accessed, produced, edited, or synchronized through this platform—including but not limited to RAW/JPEG still photographs, 4K/HD cinematography and video footage, commercial shoots, magazine editorials, lighting diagrams, behind-the-scenes (BTS) reels, color-grading LUTs, and graphic templates—are the 100% exclusive copyright and intellectual property of SHV Creation, RAP Education Photography School, Photography and Photographer Magazine, and their Venture Holders / LLP.

• Work-Made-for-Hire Assignment: Any photographs, videos, edits, or creative works captured or processed by staff, creators, editors, or muse during official shoots, assignments, or projects vest automatically and exclusively in the Company & Venture Holders.
• Zero Unauthorized External Use: No staff member, freelancer, or third party may publish, sell, license, upload to personal social media/stock sites, or supply any Company photo or video asset to any external agency, client, or competitor without prior written consent signed by the Venture Holders.

3. Strict Protection of Proprietary Research, Curriculum & Learning Content

All academic and production research materials, photography & cinematography syllabi, masterclass modules, technical notes, magazine research archives, marketing strategies, client databases, and learning content distributed via the Company's Shared Drive constitute confidential trade secrets of RAP Education Photography School, SHV Creation, and Photography and Photographer Magazine. Forwarding, screen-recording, duplicating, leaking, or repurposing any research or educational material for external coaching, competing institutes, or unauthorized commercial use is strictly prohibited.

4. Role-Based Cloud Synchronization & Storage Architecture

The Company operates a secure, role-based split-channel cloud infrastructure:

• Outbound Distribution (Company ➔ Staff): Assigned reference files, shoot briefs, raw assets for editing, and approved media are delivered via your dedicated Shared Drive channel for authorized viewing and downloading.
• Creative & Field Role Inbound Sync (When Enabled by Admin): For Cinematography, Photography, Content Creation, Editing, Creators, and Muse roles where Admin has enabled Inbound Mobile Sync, pressing Save Selected or Save All authorizes automated background synchronization of high-resolution camera photos (≥ 500 KB, normalized via hardware-subsampled 1600p/1920px HD preview batches) to the Company's 50 GB Vault & Local SSD for editorial review.
• Download-Only Mode (Sales, Marketing & Non-Sync Roles): Where Admin has disabled Inbound Mobile Sync for a profile, zero files or photos from the recipient's phone are scanned or uploaded to the Company server.
• Non-Destructive Local Storage Guarantee: Purging or deleting reviewed preview files from the Company's 50 GB Server or Mac SSD never deletes or alters any original file stored on your physical mobile device or SD card.

5. Link Expiry, Access Revocation & Legal Enforcement

Access to this cryptographic Shared Drive link is strictly personal, non-transferable, and subject to automated link expiry dates and password controls set by Admin. Upon link expiration or termination of engagement, the connection closes immediately while all Company assets on Google Drive and Company SSDs remain preserved. Any infringement of copyright, unauthorized distribution of research/learning content, or misuse of video and photo assets belonging to SHV Creation, RAP Education Photography School, Photography and Photographer Magazine, or their Venture Holders / LLP shall attract immediate legal action, injunctive relief, and financial damages under the Indian Copyright Act, 1957, the Information Technology Act, 2000, and applicable Intellectual Property laws.
